Eligibility: The Contest is open only to legal residents who are at least eighteen
(18) years old. Employees of Krispy Kreme Doughnut Corporation, its suppliers, its
franchisees and their suppliers, as well as the immediate family (spouse, parents,
siblings, and children) and household members of each of those employees, are not
eligible to enter.
Sponsor: The Contest is sponsored by Krispy Kreme Doughnut Corporation, 370 Knollwood
Street, Suite 500, Winston-Salem, NC 27103 (“Sponsor”).
Agreement to Official Rules: By entering the Contest, you indicate your full and
unconditional agreement to, and acceptance of, (a) these Official Rules and (b)
Sponsor’s decisions, which are final and binding. Winning a prize is contingent
upon fulfilling all requirements set forth herein.
Entry Period: The Contest begins on at 12:00:01 AM EDT on Monday, July 9, 2012 and
ends at 11:59:59 PM EDT on Sunday, August 19, 2012. Sponsor’s computer is the official
time-keeping device for the Contest.
How to Enter:
Get a Krispy Kreme Hat: You can get a free Krispy Kreme Paper Hat (the “Hat”) at
a participating Krispy Kreme location (while supplies last) or online at www.celebratekrispykreme.com.
Take a Picture: Take a picture that includes the Hat and shows how you celebrate
with Krispy Kreme during its 75 th birthday (your “Entry”). Your Entry must not:
(a) violate any third party rights, including, but not limited to, copyrights; (b)
be obscene or indecent; (c) depict any risky behavior; (d) prominently feature any
third party trademarks or logos; or (e) otherwise violate any law. Sponsor, in its
sole discretion, may determine whether or not any Entry fails to meet these requirements.
If the Entry depicts any person other than yourself, you must obtain written permission
from each person (or from his/her parent or legal guardian) to grant the rights
described in the “Sponsor’s Rights to Entries” section below.
Submit Your Entry: Visit www.celebratekrispykreme.com and follow the instructions
to submit your Entry. An Entry may only be submitted one (1) time, and only by one
(1) person, regardless of how many people are depicted in the Entry. Entries will
not be acknowledged. Sponsor reserves the right to edit or refuse to post any Entry
for any reason.
Sponsor’s Rights to Entries: By submitting an Entry, you: (a) irrevocably grant
Sponsor, its agents, licensees, and assigns the unconditional and perpetual (non-exclusive)
right and permission to copyright, reproduce, encode, store, copy, transmit, publish,
post, broadcast, display, publicly perform, adapt, modify, create derivative works
of, exhibit, and otherwise use your Entry as-is or as-edited (with or without using
your name) in any media throughout the world for any purpose, without limitation,
and without additional review, compensation, or approval from you or any other party;
(b) unconditionally and irrevocably forever waive any rights of copyrights, trademark
rights, privacy rights, and any other legal or moral rights that may preclude Sponsor’s
use of your Entry, or require any further permission for Sponsor to use the Entry;
and (c) agree not to instigate, support, maintain, or authorize any action, claim,
or lawsuit against Sponsor on the grounds that any use of the Entry, or any derivative
works, infringes any of your rights as creator of the Entry, including, without
limitation, copyrights, trademark rights, and moral rights.
Selection of Finalists and Winner:
Finalists: Entries will be posted on www.celebratekrispykreme.com, and members of
the public will be encouraged to vote for their favorite entries based on the following
Judging Criteria: (a) originality; (b) how well the Entry fits with the Sponsor’s
image; and (c) how well the Entry shows how you celebrate with Krispy Kreme during
its 75 th birthday. The three (3) Entries with the most votes will be deemed Finalists.
Voting Process: You are prohibited from seeking to obtain votes for your Entry by
any fraudulent or inappropriate means, including, without limitation, by offering
prizes or other inducements to members of the public, as determined by Sponsor,
in its sole discretion. The use of any script, macro, or automated system to vote
is prohibited and votes placed (or which appear to have been placed) using any such
system may be treated as void.
Winner: On or about September 18, 2012, a panel of judges selected by the Sponsor
will select one (1) potential winner among all the Finalists based on the Judging
Criteria. The potential winner will be notified via e-mail. The potential winner
will be the person who submitted the winning Entry, regardless of whether the Entry
depicts other people.
. Potential Winner Requirements: A potential winner may be required to complete
and return a declaration of eligibility, a liability/publicity release, and a release
in which he/she irrevocably assigns and transfers to Sponsor any and all rights,
title, and interest in Entry, including, without limitation, all copyrights and
trademark rights, and waives all moral rights in the Entry. If the Entry depicts
any person other than the potential winner, the potential winner may be required
to submit signed releases from each person depicted in the Entry (or from his/her
parent or legal guardian). If a potential winner is over eighteen (18), but still
a minor in his/her state of residence, his/her parent or legal guardian will be
required to sign the documents on his/her behalf. If a potential winner fails to
sign and return these documents within the required time period, an alternate potential
winner may be selected in his/her place according to the procedures set forth above.
Only three (3) alternate potential winners may be contacted.
Prize: One (1) winner will receive a trip for two (2) to visit any Krispy Kreme
location in the world. The prize consists of: (a) round-trip airfare for two (2)
people from an airport near the winner’s home to the destination city; (b) five
(5) nights of hotel accommodations; and (c) $500 USD (approximately £319) spending
money. The combined cost of the airfare and hotel may not exceed $4,500 USD (approximately
£2,870), or the winner will be required to pay for the difference. The approximate
retail value of the prize is $5,000 USD (approximately £3,190). The trip must be
taken within one (1) year of the date the prize is awarded. The trip is subject
to availability, blackout dates, and additional restrictions. The winner and his/her
travel companion must travel on the same itinerary. If the winner’s travel companion
is a minor, he/she must be accompanied by his/her parent or legal guardian. The
travel companion (or his/her parent or legal guardian) must sign a liability and
publicity release prior to issuance of travel documents. Once travel documents are
issued, travel arrangements cannot be changed. A winner is responsible for obtaining
necessary travel documents (such as passports) and for paying any applicable income
taxes and any and all additional costs and expenses not listed above. Any prize
details not specified above will be determined by Sponsor, in its sole discretion.
A prize may not be transferred and must be accepted as awarded. A winner may not
request cash or a substitute prize; however, Sponsor reserves the right to substitute
a prize with another prize of equal or greater value if the prize is not available
for any reason, as determined by Sponsor, in its sole discretion
General Conditions: In the event that the operation, security, or administration
of the Contest is impaired in any way, Sponsor may, in its sole discretion, either:
(a) suspend the Contest to address the impairment and then resume the Contest; or
(b) award the prizes according to the Judging Criteria (with or without reference
to the public votes) from among the eligible Entries received up to the time of
the impairment. Sponsor reserves the right, in its sole discretion, to disqualify
and seek damages from any individual who tampers with the operation of the Contest,
violates these Official Rules, or acts in a disruptive or unsportsmanlike manner.
Sponsor’s failure to enforce any term of these Official Rules shall not constitute
a waiver of that provision. Proof of sending any communication to Sponsor by mail
shall not be deemed proof of receipt of that communication by Sponsor. In the event
of a dispute as to the owner of an Entry, the person who filled out the entry form
will be deemed the winner. The Contest is subject to federal, state, and local laws
and regulations and is void where prohibited.
Release and Limitations of Liability: By participating in the Contest, you agree
to release and hold harmless Sponsor, its parent, subsidiaries, affiliates, and
each of their respective officers, directors, employees, and agents (the “Released
Parties”) from and against any claim or cause of action arising out of participation
in the Contest or receipt or use of any prize, including, but not limited to: (a)
unauthorized human intervention in the Contest (including the voting process); (b)
technical errors; (c) printing errors; (d) lost, late, postage-due, misdirected,
or undeliverable mail; (e) errors in the administration of the Contest or the processing
of Entries; or (f) injury or damage to persons or property. You further agree that
in any cause of action, in no event shall the Released Parties be liable for attorney’s
fees. You waive the right to claim any damages whatsoever, including, but not limited
to, punitive, consequential, direct, or indirect damages.
Privacy and Publicity: Any information you submit as part of the Contest will be
used for purposes of this Contest and treated in accordance with Sponsor’s Privacy
Statement. By entering, you authorize the transfer of any information you submit
to the United States for purposes of administering the Contest. UK residents have
the right to access, withdraw, and correct their personal information. You may request
such action by sending an e-mail to insert address.
Disputes: Except where prohibited, you agree that any and all disputes, claims and
causes of action arising out of, or connected with, the Contest or any prize awarded
shall be resolved individually, without resort to any form of class action, and
exclusively by the appropriate court located in North Carolina. All issues and questions
concerning the construction, validity, interpretation and enforceability of these
Official Rules, your rights and obligations, or the rights and obligations of Sponsor
in connection with the Contest, shall be governed by, and construed in accordance
with, the laws of North Carolina, without giving effect to any choice of law or
conflict of law rules (whether of North Carolina or any other jurisdiction), which
would cause the application of the laws of any jurisdiction other than North Carolina.
